10th Level Human Fighter with a Constitution of 18 (+4 Modifier) dies to a ghoul. (Not a textbook ghoul...) Few days later, 10th Level Human Fighter with a Constitution of 18 (+4 Modifier) rises as ghoul. Does he Lose all of his previous modifier bonuses? (Orginally 10d10 +40, but once hitting undead, has to subtract the +40 from his current total)

I'm thinking no, because all that was obtained during life, but I dunno.

Your CON score goes poof, so you do lose the bonus it gave. It's a non-score though, so you don't get penalized for it either.

Your hit dice then become d12s.

The hit point would just be re-rolled with the new HD (10d12). Are we talking the gravetouched ghoul template here, if the character retains hit dice?

The character will retain his current hit points minus the constitution modifier.

But a new question arrises. The 'Deathless' template doesn't have any level ajustment to it?

Deathless is a subtype, not a template...

If you're looking for an undead without an LA, look at Necropolitan. Essentially, everything remains the same, except you sacrifice 1000 XP and your Constitution score.

You lose a level plus 1000xp, technically.

No no no no no no no. No. NO no nO. No with a bit of extra "no" thrown in for good measure.

D12 HD are a Feature of the Undead type, not a Trait. Unless otherwise specified (like in a template description), upon changing your type (whether it be to Undead, Fey or Outsider, or whatever) you generally gain all the Traits of the new type (losing your original Traits), but none of the Features.

Saying that all your HD become d12 when you aquire the Undead Type is like saying all your HD become d8 when you gain the Outsider Type...it just doesn't happen.

Just because many of the (more) playable Undead Templates (notably Lich) say that all your HD become d12, does not mean that it is true for other Undeadifications. If you want a modicum of proof od this, please check your Monster Manual and have a gander at the Mummy Lord stat block and note its 10d8 HD on top of its 8d12 racial HD.

In response to the OP, yes, you lose all those bonus Hit Points from that juicy Con, but unless the template that made you Undead said to increase your current HD to d12, you just stick with the HP you have already (minus the 40 for losing your Con score).

(P.S. If you're using the Libris Mortis Undead Monster Class, you won't be raising your HD to d12 and unless you take a class with d12 HD after finishing the Monster Class, you won't have any more than the 4 racial HD as d12 either)
