Souless : A demon has it's soul so a souless one has no emotions he cannot sense fear,he cannot have a moral bonus, and mind afeecting spells,(ex fear, bard's song, charm, freinds, etc) do action on his own unless his master or him is in danger he is told to do so.
Abitlity increase: The first level and every 2 levels after gains a +1 to dexterity, Strength and Constitution
Bonus feats: A souless one get the same feats as a fighter. If he or she has fighter levels than they stack for selcting feats. If the person has no fighter levels then the Souless one level count like fighter levels.

Suggestions please

1. There is no definition of "Fighting Class" in 3.5, change it to either "must not have the ability to cast spells", "must not have the ability to cast spells or use spell-like abilities" (which eliminates some races) "must not have access to spells, spell-like abilities, or supernatural abilities" (which actually kicks out monks) or "must permanently forsake the ability to cast spells, or use spell-like abilities"

2. Souless and Bound to Master means that players can't use this class (except for Cohorts). Unless they have it in their backstory that their master already died making it a moot ability; unless that would make them lose their class features (in which case it should be stated).

3. Resummon is a bad idea. It means a 2nd level character can be freely true resurrected with just a 3 week wait time. Although since it seems like it would need a master to do so really it just means that once he hits 6th level the wizard has a 4th level cohort that he can kill off at will (this assumes leadership is allowed otherwise this feature is gone for PCs). Also giving the big bad wizard an unkillable mook can be fiated away as a special power of his or the mooks and doesn't need a PrC to do so.

4. Looking at the other stuff it is a fighter with 2 of his bonus feats preselected, more front loaded, his other bonus feats slowed in progression, and with a +5 to all physical ability scores.

My advice: Explore the effects of not having a soul. Immunity to fear, morale effects, and mind-affecting effects as well as trap the soul. Make the Master less of a game mechanic and more of a fluff thing. Give them more flavorful abilities and ones that give them extra options instead of just stat bonuses and bonus feats. Maybe give them some ability to strike fear into enemies. Give the class some mechanical prerequisites that aren't "you give up running your character".

Edit: Sorry if I was too rough.

advice is nice, ill change some things, how exacly would you make the master a more of a fluff thinG and to have a souless one should i put a lv restriction like at lv 9? and he'll be 3 or 4 lvs lower

If you want this to be cohort only then you don't really need to. If you want this to be something taken by PCs though you need a way to let them retain some autonomy. If you want this to be Cohort only make it a template instead of a class would be my advice and look at Voidmind (MMIII) for a similar creature.

As a class give it a BAB requirement, and maybe a feat, so many skill ranks, or base save requirement.

i think that i should restart this class and make it that wouls sell it soul for power and it would get more modfiers
