According to Rules Compendium Pg:35 ..
Flat-Footed: A creature that hasn’t yet taken an action
during combat is fl at-footed, not yet able to react normally
to the situation. A fl at-footed creature is denied its Dexterity
bonus to AC and can’t make attacks of opportunity.
So... 2 PC and 1NPC roll initiatives.. they go as that:
PC1(18)1st
NPC(17)2nd
PC2(15)3rd
so while PC1 plays his 1st round rest are FF?as NPC plays his 1st PC2 FF?
and after all of em take an action noone FF?
or we assume that they all playing at the same time?
the above situation has no surprise round and all are aware of each other.

Correct, assuming no other complications (invisibility, balancing, climbing, etc.).
