So, when a creature that has 16 dex, and combat reflexes (http://www.d20srd.org/srd/feats.htm#combatReflexes) (he gets 4 AoO) gets hit by a tanglefoot bag (http://www.d20srd.org/srd/equipment/goodsAndServices.htm#tanglefootBag). He clearly has 12 dex, so now he gets 2 AoO, or does he still get 4 AoO?

Correct, changes to your Dex are going to change how many AoOs you get per round.
