Is there any form of wild shape that doesn't replace physical stats while whild shaped?

Well, not anything called wild shape, but you can replace it with things that aren't wild shape. Unfortunately, all of them are significantly worse than wild shape. A quick list is aspect of nature (http://www.d20srd.org/srd/variant/classes/classFeatureVariants.htm#wildShapeVariantAspectOfN ature), aspect of the dragon (DrM, 11), and shapeshift druid (PHB, 39). The other options are generally similar enough to wild shape, or dissimilar enough from wild shape to be not worth mentioning. Shifter druid substitution levels (RoE, 126) probably fits into the latter category, but it's kinda transformationish.

the shapeshifter (i think thats the name) Alt class feature gives physical stats enhancement bonuses based on what form you take. its in PHII

as far as I've seen no, however if you use the pathfinder version it simply adds to or reduces some stats based on size category you change to instead of taking it from a stat sheet (for instance medium forms from either wild shape or thousand faces give +2str +2 natural armor, small gives +2dex +1 natural armor, large +4str -2dex +4 nat, so on and so forth).

Meant for 3.5. Would that alternate class feature from PHB II work with getting wild shape from a source other than druid?

there's the primeval form from the primeval prc. It's a shorter duration wild shape, and you can only use it to take a specific form that you choose when you enter the class (and that form has to be a dire animal or dinosaur or some other prehistoric animal 8 hd or under) but it adds the animals physical stats (minus 10 or 11) to your own
