So let's say you magically had an umbrella that was a spear yet when opened could act as spiked tower shield.

Where could you see a build going with this

Nowhere - a tower shield cannot be spiked because it can't make bashing attacks. In general, tower shields are fantastically useless unless you abuse the total cover option. Spears are also kind of lousy, as simple weapons tend to be.

well.. What's the action to switch between tower shield (assuming it does't have spikes as that doesn't work) and spear?

Spears (long and regular) are actually one of my favourite simple weapons , as they are two-handers and have a x3 critical multiplier.
