Thats the srd but my dm wants the sentence to be found in the players handbook

If you need an actual book, you need to look either at the spell Polymorph ("This ability functions like the polymorph spell") in the PHB (pre-errata) or Alternate Form in MM (post-errata, as it was changed to that rather than polymorph).

If you're using the 3.5 players handbook, find the start of the wild shape section, find the paragraph that starts like the SRD one, and check to see if that sentence is in there.

I'm afraid I am unable to physically get to my books until later this evening, so I can't check it in person. But I'm 99% sure that it's there.

I am not sure if they actually say it in the PHB, depending on what edition you have. I think it was part of the alternate form/polymorph change they made.

Hey, it's in the PHB, come on! In the Wildshape section, p. 37 in my PHB, it says that Wildshape works like polymorph. Go find polymorph, where it tells you "Upon changing, the subject regains lost hit points as if it has rested for a night", page 263.
This is if you don't use the errata. If you do, you have to use a similar process, but look up Alternate Form in the MM rather than Polymorph in the PHB.

I'm not sure if it actually was in the original PHB. It looks like it was added later, in the PHB errata (http://www.wizards.com/default.asp?x=dnd/er/20040125a). So, just download that and it should tell you everything you need to know.

Interestingly it is in the 2006 Errata, but it is not in the 2004 version of the Errata I had on my hard-drive.

Otherwise it's in the PH under polymorph.

That is another way to reach the healing state of things, though it's notable that you would then be using the incorrect rules for wild shape, which are pretty different from the current ones, especially as you get a type change from the polymorph version.

To avoid the PHB errata issue you can also look on page 26 of the Rules Compendium where it has the post-errata version of wildshape spelled out in full, including the per HD healing.
