Shieldbearer Tower Shield (3.5)

So with the Shieldbearer spell allows you to use a Tower Shield without holding it but can you use it to have the Tower Shield give you total cover without need of holding it?

The spell doesn't say that you're wielding the shield in any way so I'd probably say no. You don't get the -2 for its encumberance but you can't use it for cover either.
