If you're not familiar with them, we're talking about the main hero from Phoenix Wright: Ace Attorney games and Solid Snake's best friend (or more, as some yaoi fangirls want you to think) from Metal Gear Solid. By the way, we're not talking about Otacon from MGS4, since that game has not been released yet.
Arena: a warehouse full of tools, but without any weapons apart from simple melee ones (none of the contestants would know how to use them anyway). It's a duel, so no help from any allies, and this is not a court trial.
Who would win? Otacon has a slight advantage since, being an engineer, he can pull out more with the tools around, but on the other hand he is rather cowardly, while Phoenix seems to be fearless (seeing that he has a habit of rubbing murder evidence right into the murderer's face, on the murderer's turf).
